Terms and Conditions
for the Provision of IT Services

1. These Terms and Conditions set out the rules for the provision of information technology (IT) services by Piotr Bahdasaran, operating as a sole proprietorship, VAT ID (NIP): 9512534689, address: al. KEN 19, 02-797 Warsaw, Poland, e-mail: ceo@ptrs.ltd (hereinafter: the “Service Provider”).

4. Acceptance of these Terms and Conditions is voluntary but necessary in order to use the Service Provider's services. Should the Client not agree to these Terms and Conditions, the Client is requested to stop using the website and to refrain from entering into cooperation.

2. The detailed scope of work and the deadline for its performance are agreed on a case-by-case basis between the Service Provider and the Client (e.g. by e-mail).

1. In order to use the services provided by electronic means and to contact the Service Provider, the following are required:

1. The contract is concluded at the moment the Client pays the invoice (including a pro forma invoice) issued by the Service Provider after the scope of services has previously been accepted. Making the payment is tantamount to full acceptance of these Terms and Conditions by the Client.

2. The base rate for services is PLN 585 gross per hour of work. The final price of the services is agreed individually before work begins and is stated on the invoice.

3. Payment is made by bank transfer to the Service Provider's bank account within 14 calendar days of receipt of the invoice, unless the parties agree otherwise.

1. Upon full payment for the services, the Service Provider grants the Client a non-exclusive licence, unlimited in territory and time, to use the results of the work in the fields of exploitation necessary for the normal use of the implemented IT solutions within the Client's activity.

2. The transfer of economic copyright to the Client requires a separate agreement concluded in written form, under pain of nullity.

1. A Client who is a Consumer or a PNK has the right to withdraw from a distance contract within 14 days without giving any reason.

2. The right of withdrawal does not apply to a Consumer or a PNK if the Service Provider has fully performed the service with the express and prior consent of the Client, who was informed before the performance began that they would lose the right of withdrawal once the Service Provider had performed the service.

1. The Client has the right to submit complaints concerning the services provided.

2. Complaints should be submitted by electronic means to the e-mail address: ceo@ptrs.ltd.

3. A complaint should contain the Client's details, a description of the problem and the request.

4. The Service Provider examines complaints within 14 days of their receipt and informs the Client of the decision by e-mail.

In relation to Clients who are neither Consumers nor PNK (so-called B2B relations), the Service Provider's liability for non-performance or improper performance of the contract is limited to the net value of the remuneration paid by the Client for the given service and does not cover lost profits (lucrum cessans).

2. The limitation referred to in section 1 does not apply to Consumers and PNK, in relation to whom liability is governed by generally applicable provisions of law.

1. The controller of Clients' personal data is the Service Provider (Piotr Bahdasaran).

2. Data is processed solely for the purpose of performing the contract, issuing invoices and tax settlements (Article 6(1)(b) and (c) GDPR).

3. The Client has the right to access their data, to rectify it, to erase it or to restrict its processing.

1. The legal relations between the parties are governed by the law of the Republic of Poland.

2. Any disputes between the Service Provider and a Client who is neither a Consumer nor a PNK shall be settled by the court having jurisdiction over the Service Provider's registered seat.

3. In the case of disputes with Consumers and PNK, the competent court is the court determined in accordance with the general provisions of the Code of Civil Procedure.

5. This English text is a translation provided for convenience. In the event of any discrepancy between the English and the Polish version, the Polish version shall prevail.
